1.Introduction
1.1 Welcome to Dada Udyogini (“Dada Udyogini”, “Platform”, “Application”, “we”, “us” or “our”).
1.2 Dada Udyogini is a digital marketplace/application through which users may browse products, view product and seller information, add products to a cart or wishlist, place orders, make payments through available payment methods, receive delivery of purchased products, request returns or refunds where applicable, submit reviews and ratings, and communicate with customer support.
1.3 These Terms & Conditions (“Buyer Terms” or “Terms”) govern your access to and use of the Dada Udyogini Buyer Application and the services and functionalities made available through it.
1.4 These Terms constitute an electronic record and are intended to govern the relationship between you and the operator of Dada Udyogini in relation to your use of the Platform.
1.5 By downloading, accessing, registering on, browsing, or using the Application, or by placing an order through it, you acknowledge that you have read, understood and agreed to these Terms.
1.6 If you do not agree to these Terms, you should not access or use the Application.
1.7 These Terms should be read together with the applicable Privacy Policy, Return and Refund Policy, payment terms, shipping/delivery terms and any other policy displayed on the Platform.
2.Definitions
For the purposes of these terms:
2.1 “Buyer”, “you” or “your” means any person who accesses or uses the Buyer Application for browsing, purchasing or otherwise using the services available through Dada Udyogini.
2.2 “Seller” means a person, business, enterprise, shop, producer or other eligible entity whose products are listed on the Platform.
2.3 “Product” means any goods, articles, merchandise or other item displayed for purchase through the Platform.
2.4 “Order” means a request submitted by you through the Application for purchase of one or more Products.
2.5 “Order Details” means information relating to an Order, including Product details, quantity, price, delivery address, payment status and order status.
2.6 “Payment Gateway” means the third-party payment service provider made available through the Platform for processing payments.
2.7 “Platform Content” means the text, software, graphics, photographs, logos, interfaces, designs, information and other material belonging to or made available through Dada Udyogini.
2.8 “Applicable Law” means all laws, rules, regulations, notifications, orders and legally binding requirements applicable to the relevant transaction, user or activity.
3.Eligibility
3.1 You must have the legal capacity to enter into a binding contract under Applicable Law to use the Platform and place an Order.
3.2 By using the Platform, you represent that the information submitted by you is accurate and that you are legally permitted to use the services.
3.3 If a person who does not have legal capacity accesses the Platform, such access must occur through or with the involvement and responsibility of a parent, legal guardian or other person legally authorised to act on that person's behalf, wherever permitted.
3.4 We may restrict or refuse access where we reasonably believe that a user does not satisfy the applicable eligibility requirements.
4.Registration and Buyer Account
4.1 Certain functions of Dada Udyogini may require registration and creation of a Buyer account.
4.2 During registration or use of the Platform, you may be required to provide information necessary for account creation, order processing, delivery, communication and support.
4.3 You are responsible for ensuring that information provided by you remains accurate, complete and updated.
4.4 Your account is intended for your use. You should not knowingly permit another person to misuse your account.
4.5 You are responsible for maintaining the confidentiality and security of your account credentials and device used to access the Application.
4.6 If you become aware of unauthorised access or suspicious activity relating to your account, you should promptly notify Dada Udyogini through the available support channel.
4.7 Dada Udyogini may restrict, suspend or terminate an account where reasonably necessary because of a breach of these Terms, suspected fraud, unlawful conduct, misuse of the Platform, security concerns or other legitimate reasons.
5.Buyer Profile and Information
5.1 The Application may permit you to view and update your profile information.
5.2 You are responsible for ensuring that your name, telephone number and other information provided for account and transaction purposes is accurate.
5.3 You must not impersonate another person or provide information belonging to another person without lawful authority.
5.4 Information supplied for delivery must be sufficiently accurate to enable delivery to the address entered by you.
5.5 Where an address is outside the available delivery/service area, delivery may not be available to that address.
6.Addresses and Delivery Information
6.1 Dada Udyogini may allow Buyers to add, save, modify or remove delivery addresses.
6.2 You are solely responsible for checking the accuracy of the delivery address before confirming an Order.
6.3 An incorrect or incomplete address may result in delayed delivery, unsuccessful delivery, return to Seller, cancellation or additional operational consequences.
6.4 The Application may display estimated delivery information. Any delivery estimate is indicative unless expressly stated otherwise.
6.5 Delivery availability may depend on the Product, Seller, location, courier availability, parcel characteristics and other operational factors.
6.6 Dada Udyogini shall not be responsible for a delivery failure caused primarily by incorrect information supplied by the Buyer.
7.Product Listings
7.1 Products available through Dada Udyogini may be displayed with photographs, descriptions, specifications, prices, Seller information and other details.
7.2 Product information is generally supplied or maintained by the relevant Seller and/or Platform.
7.3 Reasonable efforts may be made to display accurate Product information; however, minor differences between displayed information and the Product received may occur, including differences in appearance, colour, packaging or presentation.
7.4 Availability of a Product may change without prior notice.
7.5 A Product displayed on the Platform does not constitute a guarantee that the Product will remain available until an Order is successfully accepted and processed.
7.6 Dada Udyogini may remove, suspend, restrict or modify a Product listing where necessary.
8.Product Price, Taxes and Other Charges
8.1 The applicable price payable by the Buyer will be the price displayed for the relevant transaction, subject to correction of obvious errors and applicable taxes or charges.
8.2 Product prices may change from time to time.
8.3 Applicable taxes may be included or separately identified as required by the transaction and Applicable Law.
8.4 The Application may display applicable delivery, handling, payment or other charges, where such charges apply.
8.5 The amount displayed at checkout should be reviewed by the Buyer before confirming the Order.
8.6 In the event of an obvious pricing or technical error, Dada Udyogini may take appropriate corrective action, including cancellation of an affected Order and processing of any applicable refund.
9.Cart and Wishlist
9.1 The Application may provide a shopping cart functionality through which Buyers can review Products selected for purchase.
9.2 Adding a Product to the cart does not guarantee that the Product will remain available or that the displayed price will remain unchanged.
9.3 The Buyer should review quantity, Product, price, delivery address and other Order details before checkout.
9.4 The Wishlist feature may allow Buyers to save Products for future reference.
9.5 Wishlist or cart placement does not constitute a purchase or reservation unless expressly confirmed by the Platform.
10.Placing an Order
10.1 A Buyer may place an Order by selecting the Product, quantity, delivery address and applicable payment method and completing the checkout process.
10.2 Before submitting an Order, you should verify:
- Product and quantity;
- Product price;
- Applicable taxes or Charges;
- Delivery Address;
- Payment Method; and
- Any applicable return conditions.
10.3 Submission of an Order constitutes a request to purchase the selected Product on the displayed terms.
10.4 An Order may be subject to Seller acceptance, payment confirmation, Product availability, delivery serviceability and other applicable checks.
10.5 Dada Udyogini may cancel or decline an Order where the Product is unavailable, payment is unsuccessful, delivery is not serviceable, fraud or misuse is suspected, or another legitimate operational or legal reason exists.
10.6 Order status may be displayed in the Application and may include stages such as Order placed, payment status, processing, delivery and completed/returned status.
11.Payment
11.1 Dada Udyogini may provide one or more payment methods through its payment infrastructure and applicable third-party payment providers.
11.2 The Buyer must provide accurate payment information required by the applicable payment service.
11.3 A payment must be successfully processed before an Order is treated as ready for fulfilment where successful payment is required.
11.4 The Application may display payment confirmation after successful processing.
11.5 Payment processing may be carried out by a third-party Payment Gateway.
11.6 Payment credentials and sensitive payment information may be processed by the relevant payment service provider. Dada Udyogini does not intend to store complete payment credentials on its servers except where permitted or required by Applicable Law and applicable service arrangements.
11.7 Failed, reversed, declined or incomplete payments may result in the Order not being processed.
11.8 The Buyer must not attempt to circumvent, manipulate or interfere with the payment process.
12.Order Confirmation and Records
12.1 After an Order is successfully placed, the Application may provide an Order confirmation or related transaction information.
12.2 Buyers should retain Order information, payment confirmations and relevant communications for their records.
12.3 The Platform may maintain transaction and Order records for operational, legal, tax, accounting, dispute-resolution, fraud-prevention and other legitimate purposes.
13.Delivery and Shipping
13.1 Dada Udyogini may arrange or facilitate delivery through available logistics/courier arrangements.
13.2 Estimated delivery dates or periods are indicative unless specifically stated as guaranteed.
13.3 Delivery may be affected by availability of courier services, weather, location, public events, operational disruptions, incorrect address details and other circumstances.
13.4 A courier or delivery provider may cancel, delay or be unable to complete a delivery in certain circumstances.
13.5 Where the Application records an Order as undelivered, cancelled or otherwise unsuccessful, the Buyer should contact support through the available support mechanism.
13.6 A Buyer should cooperate reasonably with delivery attempts and provide necessary information for successful delivery.
14.Reviews and Ratings
14.1 Eligible Buyers may be permitted to submit ratings or reviews concerning Products purchased through Dada Udyogini.
14.2 The Application may restrict reviews to Products actually purchased by the Buyer.
14.3 The Platform may display a “Verified Buyer” or similar indicator where the applicable system verifies the purchase.
14.4 A Buyer must ensure that any review submitted is genuine and based on the Buyer's actual experience.
14.5 Reviews must not contain unlawful, abusive, threatening, defamatory, discriminatory, obscene or infringing material.
14.6 The Application may impose limits on review content, including character limits and permitted media formats.
14.7 The Platform may remove or restrict content that violates these Terms or Applicable Law.
14.8 A Buyer must not submit fake reviews, manipulate ratings, review a Product that was not purchased, or use reviews to threaten or extort a Seller.
15.Customer Support
15.1 Dada Udyogini may provide customer support through support tickets or other communication channels made available within the Application.
15.2 Buyers may raise issues concerning Orders, delivery, returns, refunds, payments, account matters or other Platform-related concerns.
15.3 Support requests should contain accurate information and sufficient details to enable investigation.
15.4 Dada Udyogini may communicate with the Buyer regarding the status of a support request.
15.5 Support does not guarantee a particular outcome where a matter requires investigation or depends upon a Seller, courier, payment provider or other third party.
16.Communications
16.1 By using the Platform and providing contact information, you may receive communications necessary for account, security, Order, payment, delivery, return, refund and support purposes.
16.2 Transactional communications may continue where necessary to complete or administer an Order.
16.3 Promotional communications, where applicable, may be subject to available opt-out mechanisms and Applicable Law.
16.4 Dada Udyogini may use electronic communications for notices, updates, security alerts, policy changes and service-related information.
17.Privacy and Personal Information
17.1 Your use of the Platform is also governed by the applicable Dada Udyogini Privacy Policy.
17.2 The Buyer Application indicates that information required for an Order may include the Buyer's phone number, delivery address and information concerning purchases.
17.3 Information may be used for purposes including account administration, order processing, payment coordination, delivery, customer support, fraud prevention, legal compliance and other purposes permitted under the Privacy Policy and Applicable Law.
17.4 Payment information may be handled by the applicable payment gateway.
17.5 By using the Platform, you acknowledge that personal information may be processed as described in the Privacy Policy.
18.Account Deletion
18.1 A Buyer may request deletion of their account through the mechanism provided by the Application or by contacting support where applicable.
18.2 Account deletion does not necessarily require immediate deletion of every record associated with past transactions.
18.3 Order history and transaction records may be retained where necessary for legal, tax, accounting, fraud-prevention, dispute-resolution or other lawful purposes.
18.4 The Application presently indicates that after account deletion, order history may be retained for legal and tax purposes with name and contact details removed where applicable.
18.5 The Application also indicates a limited period within which a Buyer may contact support to request restoration of a deleted account. The applicable period displayed by the Platform at the time of deletion shall apply.
19.Intellectual Property
19.1 The Platform, including its software, interface, design, logos, graphics, text, structure and other proprietary elements, may be protected by applicable intellectual property laws.
19.2 Except as expressly permitted, Buyers must not copy, reproduce, modify, distribute, sell, publish, reverse engineer or commercially exploit Platform Content.
19.3 Product photographs, trademarks, brand names and Seller-created content may belong to the relevant Seller or third party.
19.4 Nothing in these Terms transfers ownership of intellectual property rights to the Buyer.
20.Permitted Use
You agree to use Dada Udyogini only for lawful purposes and in accordance with these Terms.
You shall not:
- use the Platform for unlawful purposes;
- create a false identity or impersonate another person;
- place fraudulent or fictitious Orders;
- manipulate prices, ratings, reviews or Platform functionality;
- attempt to gain unauthorised access to another account;
- interfere with platform security;
- introduce malware, viruses or harmful code;
- scrape or systematically extract Platform data without permission;
- reverse engineer the Application except where expressly permitted by law;
- interfere with another user's use of the Platform;
- upload unlawful or infringing material;
- use the Platform to harass, threaten or defraud any person; or
- circumvent applicable Platform policies.
21.Prohibited Content
You must not submit, upload or communicate content that:
- infringes another person's intellectual property rights;
- violates Applicable Law;
- is fraudulent or deliberately misleading;
- contains malicious software;
- unlawfully discloses another person's personal information;
- is threatening, abusive or harassing;
- is obscene or otherwise prohibited by Applicable Law; or
- is intended to manipulate the Platform or another user.
22.Third-Party Services
22.1 Dada Udyogini may rely upon third-party providers for payment processing, logistics, communication, hosting, technology or other services.
22.2 Third-party services may be subject to their own terms and privacy practices.
22.3 Dada Udyogini is not responsible for matters exclusively within the control of an independent third-party service provider, except to the extent required by Applicable Law.
24.Platform Availability
24.1 Dada Udyogini will endeavour to maintain the availability of the Platform but does not guarantee uninterrupted access.
24.2 The Platform may become temporarily unavailable because of maintenance, upgrades, technical failures, network problems, security incidents or circumstances outside reasonable control.
24.3 Features may be modified, suspended or discontinued as operationally or legally required.
25.Disclaimers
25.1 To the extent permitted by Applicable Law, the Platform is provided on an “as available” basis.
25.2 Dada Udyogini does not guarantee that the Platform will always be uninterrupted, error-free or available in every location.
25.3 Product information may be supplied by Sellers and may not always be within the direct control of Dada Udyogini.
25.4 Images and descriptions are intended to assist Buyers in understanding Products; minor variations may occur.
25.5 Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
26.Limitation of Liability
26.1 To the maximum extent permitted by Applicable Law, Dada Udyogini shall not be liable for indirect, incidental, special or consequential loss arising solely from the Buyer's use or inability to use the Platform.
26.2 Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by Applicable Law.
26.3 Where a claim arises from a Product supplied by an independent Seller, the rights and obligations relating to that Product shall be determined with reference to the applicable transaction structure, Seller obligations, Platform policies and Applicable Law.
27.Buyer Indemnity
27.1 To the extent permitted by Applicable Law, you agree to indemnify and hold harmless Dada Udyogini and its officers, employees, representatives and service providers from claims, losses or expenses arising directly from:
- your material breach of these Terms;
- unlawful use of the Platform;
- fraudulent activity;
- infringement of third-party rights through your submitted content; or
- misuse of your account attributable to your conduct.
27.2 This clause shall operate only to the extent legally permissible.
28.Suspension and Termination
28.1 Dada Udyogini may suspend or restrict access where reasonably necessary because of:
- breach of these Terms;
- suspected fraud;
- unlawful activity;
- security concerns;
- misuse of returns, payments or other Platform mechanisms;
- inaccurate or misleading information; or
- other legitimate operational or legal reasons.
28.2 A Buyer may stop using the Platform at any time.
28.3 Termination does not extinguish obligations that arose before termination.
28.4 Clauses concerning payments, intellectual property, privacy, liability, indemnity, dispute resolution and accrued obligations may continue after termination to the extent applicable.
29.Force Majeure
29.1 Dada Udyogini shall not be responsible for delay or failure caused by circumstances beyond reasonable control, including natural disasters, severe weather, government restrictions, public emergencies, war, civil disturbance, strikes, infrastructure failures, telecommunications failures, cyber incidents, payment network failures or logistics disruptions.
29.2 Where such circumstances affect an Order, Dada Udyogini may take reasonable operational measures including delaying, modifying or cancelling affected services.
30.Changes to These Terms
30.1 Dada Udyogini may update these Terms from time to time.
30.2 Updated Terms may be published through the Application or other appropriate channel.
30.3 The updated Terms shall apply from the effective date specified therein, subject to Applicable Law.
30.4 Buyers should periodically review the applicable Terms.
31.Severability
31.1 If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision shall be modified or severed to the extent necessary, without affecting the remaining provisions.
32.No Waiver
32.1 Failure by Dada Udyogini to enforce a provision immediately shall not constitute a waiver of the right to enforce that provision later.
33.Grievance Redressal
33.1 Buyers may raise grievances concerning the Platform, Orders, support, account matters or other applicable issues through the designated grievance mechanism.

33.2 Complaints should contain sufficient information to identify the relevant Order, account or issue.
33.3 Dada Udyogini will process grievances in accordance with Applicable Law and its applicable grievance process.
34.Governing Law and Jurisdiction
34.1 These Terms shall be governed by the laws applicable in India.
34.2 Subject to any mandatory consumer or statutory forum rights, disputes shall be subject to the jurisdiction of the competent courts at Pune, Maharashtra.
34.3 Nothing in this clause is intended to restrict any mandatory statutory remedy or forum available to a consumer under Applicable Law.
35.Entire Understanding
35.1 These Terms, together with the Privacy Policy, applicable Return and Refund Policy and other policies expressly incorporated into them, constitute the applicable terms governing use of the Buyer Application.
35.2 Where a specific Product, transaction or service has additional terms displayed at checkout, those terms shall apply to the relevant transaction to the extent of any inconsistency.
